Humanity & Inclusion, is a non-profit association organized in compliance with French law of July 1, 1901, domiciled at 138 Avenue des Frères Lumière 69008 Lyon, France ", registered in Thailand and domiciled in the following address: 9/243 Intarakiree Road, Maesot District, Tak- 63110. OBJECTIVE OF THE CONSULTANCY
The objective of this engagement is to provide Humanity & Inclusion (HI) with professional legal advisory services, including expert legal advice, guidance, and strategic support to ensure compliance with applicable legal and regulatory frameworks.
HI Thailand therefore invites proposals from qualified law firms or individual attorneys/ legal advisors to provide legal advisory services on a regular and as needed basis in accordance with the scope of work outlined below.
SCOPE OF WORK
HI Thailand is seeking a highly qualified and experienced Legal Advisor to provide professional legal advice and support to the organization on an as-needed basis. The scope of services will include, but is not limited to, the following:
- Review policies, contracts, MOUs, or any other document to ensure compliance with applicable national law.
- Review National staff terms and conditions for HI Thailand, and provide input to confirm with the Labour Act.
- Provide legal advice and professional solutions on matters including but not limited to contracts, labour, employment, tax, etc.
- Provide advice to ensure HI Thailand fulfils all the required legal, statutory and regulatory compliances.
• Provide regular information regarding the change of laws, rules and regulations, directives related to HI’s activities and the potential impacts and opportunities of such changes within the framework of HI.
• Draw up the formalities for the amicable settlement of arbitration and disputes which may arise during contract implementation; analyze complex situations and disputes in contracts, including dispute resolution.
• Engage in preparing and translating legal documents if required.
• Act as HI Thailand legal representative in the court litigation, official transactions, and other matters in which legal advice and other assistance are required.
Fees and Charges
(a) Legal services shall provide:
• The quotation rate per hour service including withholding tax, or
• Daily service rate for long-term retainer legal advisor assignment
(b) The contract period shall be 1 year initially, with the possibility to extend for a further 2 years.
DELIVERABLES
HI would seek:
- Response to questions would be expected within a few days to one week depending upon the urgency of the request.
- Policy and document reviews and feedback would be expected within two weeks from the date the policy or document is shared.
- Availability of a legal advisor would be expected when contacted by HI for the requested services.

PROFILE OF THE LEGAL ADVISOR
Minimum profile
- At least 5 years’ experience and extensive knowledge on the legal regime governing INGOs in Thailand.
- Extensive experience and knowledge of labour law.
- Minimum 3 years of working experience in providing support to a similar type of organization
- Fluency (spoken and written) in English and Thai
APPLICATION & FORMALITIES
PROPOSALS FROM INTERESTED LEGAL ADVISORS SHOULD INCLUDE:
- Curriculum vitae of legal advisor (or team of legal advisors) proposed
- Presentation of the Legal advisor’s firm
- Barrister certification (authorization to practice the law in the country)
- Legal Registration (as per consultant’s country of registration/incorporation)
- A financial proposal, inclusive of all costs and applicable taxes
- A proposed schedule
- 3 client references

- Administrative compliance:
o Completeness of application.
o Minimum profile criteria are met
- Bid Evaluation, as per weighted criteria below:
o Prior relevant experience Labor/employment & Tax legal advice or representation (30%)
o Prior relevant experience of legal advice to International NGO (30%)
o Relevance of means and schedule to ToR (10%)
o Financial offer (30%)
