Terms of use

These Terms of Use (“Terms”) govern your access to and use of websites, applications, and services offered by Global Development Alliance LLC(“GLODA,” “we,” or “us”) (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

The Services

GLODA provides software and data access tools for researching and working with jobs, tenders, grants, signals, and related market intelligence, including features described on this site and inside the product (such as search, saved views, alerts, and issuer tools). We may modify, suspend, or discontinue features; where required by law or contract we will honor entitlements you have already paid for during the applicable subscription term.

Accounts and access

You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms or pose security or legal risk.

Fees and billing

Paid plans are billed through third-party payment processors. Fees, renewal, taxes, and cancellation are subject to the checkout terms presented at purchase and our processors' policies. If fees are not paid when due, we may suspend paid features.

Acceptable use

You agree not to:

  • Use the Services in violation of law or third-party rights, including misuse of indexed employment or procurement content;
  • Attempt to probe, scan, or test the vulnerability of the Services, or bypass or circumvent access controls;
  • Use automation or scraping in a way that degrades the Services, violates source sites' terms, or overloads our infrastructure;
  • Misrepresent your identity, your affiliation, or the origin of content you submit as an issuer.

Content and third-party data

Much of the information surfaced through GLODA originates from third parties. That content remains subject to the issuers' own terms and applicable law. GLODA structures and indexes data for discovery; we do not claim ownership of underlying third-party materials.

Intellectual property

GLODA and its licensors retain all rights in the Services, software, branding, and documentation. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.

Disclaimers

THE SERVICES AND INDEXED DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MARKET DATA MAY BE INCOMPLETE, OUT OF DATE, OR INCORRECT; YOU ARE RESPONSIBLE FOR YOUR OWN DECISIONS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLODA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID GLODA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnity

You will defend and indemnify GLODA and its affiliates, officers, and employees against any third-party claims arising from your use of the Services, your content, or your violation of these Terms, subject to our prompt notice and reasonable cooperation.

Termination

You may stop using the Services at any time. We may suspend or terminate access for violations of these Terms, risk to the Services, or as required by law. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and governing law) will survive termination.

Governing law and venue

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law rules. Subject to applicable mandatory local law, exclusive jurisdiction and venue for disputes will be in the state and federal courts located in Delaware, USA, and you consent to personal jurisdiction there.

Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the effective date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires a different process.
